Please read these Terms of Service ("Terms") carefully before accessing or using the stjohnsmoms.com website (the "Website"), attending any St. Johns Moms events, purchasing advertising or partnership packages, submitting content, or otherwise engaging with St. Johns Moms, LLC, a Florida Limited Liability Company ("St. Johns Moms," "we," "us," or "our").

By accessing the Website, purchasing any product or service, attending an event, or submitting any content, you agree to be bound by these Terms. If you do not agree, please do not use our Website or services.

1. About St. Johns Moms

St. Johns Moms is a hyperlocal women's lifestyle media and community platform serving St. Johns County and the greater Jacksonville, Florida area. Our platform includes a public website, blog (The SJM Edit), local guides, event listings, event photography, a newsletter, social media presence, and advertising and partnership opportunities for local businesses. We operate as a media company and community platform — not as a licensed professional service provider.

Nothing published on this Website, in our newsletter, on our social media, or communicated through our community channels constitutes legal, financial, medical, therapeutic, or professional advice of any kind.

2. Website Use

You agree to use this Website only for lawful purposes and in accordance with these Terms. You agree not to:

Impersonate St. Johns Moms, LLC, its team members, or any other person or entity
Misrepresent your identity or your affiliation with any person or entity
Submit false, misleading, or inaccurate information in any form, application, or purchase
Send unsolicited advertising, spam, or promotional material through any channel we operate
Engage in any conduct that disrupts, harms, or inhibits others' use or enjoyment of the Website or community
Use any automated tools, bots, scrapers, or similar technology to access or copy content from this Website
Attempt to gain unauthorized access to any part of the Website, its servers, or connected systems
Use the Website in any way that violates applicable federal, state, or local law

We reserve the right to terminate access for any user who violates these Terms, at our sole discretion and without prior notice.

3. Advertising & Partnership Packages

St. Johns Moms offers paid advertising and partnership packages to local businesses and brands ("Partners"). These packages may include newsletter features, social media posts, blog content, event sponsorships, guide placements, and other promotional placements as described at the time of purchase or in a separate partnership agreement.

3a. Commitments and Deliverables

All deliverables, timelines, and package inclusions are specified at the time of sale. We will make reasonable efforts to fulfill all commitments as described. We reserve the right to make minor adjustments to placement, timing, or format where necessary, provided the core deliverable is fulfilled.

3b. Partner Content

Partners are responsible for providing accurate, lawful, and approved content for any promotional placements. By submitting content to us, you represent and warrant that you have all rights necessary to use and authorize us to publish that content, that it does not infringe any third-party intellectual property rights, and that it complies with all applicable laws and regulations including FTC disclosure requirements for sponsored content.

We reserve the right to edit, decline, or remove any Partner content that we determine, in our sole discretion, to be inaccurate, misleading, offensive, inappropriate, or inconsistent with our brand and community standards.

3c. Payment

All advertising and partnership packages require payment in full prior to fulfillment unless otherwise agreed in writing. Accepted payment methods are processed through our third-party payment processor. You represent that you have the legal right to use the payment method provided.

3d. Cancellation and Refunds — Advertising

All advertising and partnership purchases are final and non-refundable once work has commenced or content has been published. If a package has not yet been fulfilled and you request cancellation in writing, we will review on a case-by-case basis. No refunds will be issued for any placements already fulfilled.

We reserve the right to cancel a partnership arrangement at our sole discretion. In the event we cancel prior to fulfillment, we will issue a prorated refund for unfulfilled deliverables.

3e. No Exclusivity

Unless explicitly stated in a written agreement, no advertising or partnership package grants exclusivity in any category, geography, or placement. We reserve the right to work with multiple businesses in the same industry or category.

3f. Results Not Guaranteed

We make no guarantees regarding reach, engagement, clicks, conversions, sales, or any other performance metric resulting from advertising or partnership placements. Audience sizes and engagement rates are provided in good faith based on current data and are subject to change.

4. Local Partners Directory

St. Johns Moms may feature local businesses in a Local Partners directory on our Website. Inclusion in the Local Partners directory does not constitute an endorsement, recommendation, or guarantee of any business, product, or service. We are not responsible for the quality, safety, legality, or accuracy of any third-party business listed in our directory.

We reserve the right to add, remove, or modify any listing in the Local Partners directory at our sole discretion. Paid directory placements are subject to the advertising and partnership terms above.

5. Events

5a. Event Listings

St. Johns Moms may publish event listings for both St. Johns Moms-hosted events and third-party community events. Third-party event listings are provided as a community service only. We are not responsible for the accuracy, safety, quality, or outcome of any third-party event listed on our Website or shared through our channels.

5b. St. Johns Moms-Hosted Events

For events hosted or co-hosted by St. Johns Moms, tickets may be purchased through the Website or a third-party ticketing platform. All ticket sales are subject to the ticketing platform's own terms and conditions in addition to these Terms.

Event details including date, time, location, speakers, and programming are subject to change. We will make reasonable efforts to communicate material changes in advance but cannot guarantee that events will proceed exactly as described.

5c. Refund Policy — Events

All event ticket purchases are final and non-refundable unless an event is cancelled by St. Johns Moms. In the event of a cancellation by St. Johns Moms, a full refund or credit will be issued. We are not responsible for refunds related to your inability to attend, changes in personal circumstances, or changes to event details that do not constitute a full cancellation.

5d. Event Conduct

All event attendees are expected to conduct themselves in a respectful and lawful manner. St. Johns Moms reserves the right to remove any attendee from an event for conduct that is disruptive, harmful, threatening, discriminatory, or otherwise inconsistent with our community standards, without refund.

5e. Assumption of Risk

By attending any St. Johns Moms event, you acknowledge and accept that participation in any event involves inherent risks, including but not limited to physical injury, property damage, and other unforeseen circumstances. You voluntarily assume all such risks and agree that St. Johns Moms, LLC, its members, employees, contractors, and agents shall not be liable for any injury, loss, or damage arising from your attendance at or participation in any event.

6. Event Photography & Video

St. Johns Moms events are photographed and/or recorded for use in our marketing, social media, website, newsletter, press, and promotional materials. By purchasing a ticket to or attending any St. Johns Moms event, you acknowledge that photography and video will be taking place and you consent to being photographed or recorded.

This notice is provided in our ticketing process and by attending you grant St. Johns Moms, LLC a perpetual, royalty-free, worldwide license to use your likeness as captured in event photography and video for any lawful business purpose, including but not limited to publication on our website, social media platforms, newsletter, press materials, and partner deliverables.

If you do not wish to be photographed, it is your responsibility to inform our team at the event. We will make reasonable efforts to accommodate such requests but cannot guarantee exclusion from all photography in a public event setting.

We are not responsible for photographs or video captured by other attendees at our events.

7. The SJM Edit — Blog & Contributor Content

7a. Our Content

The SJM Edit is the editorial blog of St. Johns Moms. All content published by the St. Johns Moms team is original and owned by St. Johns Moms, LLC. You may not reproduce, republish, distribute, or repurpose our content without prior written permission. Brief quotations with attribution and a link to the original post are permitted for editorial purposes.

7b. Contributor Content

St. Johns Moms accepts content contributions from approved contributors under our Contributor Program. By submitting content for publication on The SJM Edit, contributors agree to the following:

All submitted content is original, accurate, and does not infringe any third-party intellectual property rights
Contributors grant St. Johns Moms, LLC a non-exclusive, royalty-free, perpetual license to publish, edit, promote, and repurpose submitted content across our platforms
Contributors retain ownership of their content but understand that published content may remain on our Website indefinitely
St. Johns Moms reserves the right to edit content for clarity, accuracy, tone, length, and brand consistency prior to publication
St. Johns Moms reserves the right to decline any submission at our sole discretion without explanation
Contributors are responsible for disclosing any conflicts of interest, sponsorships, or material connections related to their submitted content

Contributor submissions do not constitute a guarantee of publication. St. Johns Moms is not responsible for any claims arising from contributor content and contributors agree to indemnify St. Johns Moms, LLC from any claims arising from their submitted content.

7c. Sponsored Blog Content

Some blog content on The SJM Edit is sponsored by advertising partners. All sponsored content will be clearly disclosed in accordance with FTC guidelines. Sponsored content reflects the views and information provided by the sponsoring partner and does not constitute an independent endorsement by St. Johns Moms.

8. Local Guides

St. Johns Moms publishes local guides covering topics including but not limited to coffee shops, parks and playgrounds, gyms, kid-friendly dining, and community resources. All guides are provided for informational purposes only.

We make reasonable efforts to keep guide information accurate and current, but we do not guarantee the accuracy, completeness, or timeliness of any information in our guides. Business hours, pricing, availability, and other details are subject to change without notice. Always verify information directly with the business or venue before visiting.

Inclusion in a local guide does not constitute an endorsement or recommendation by St. Johns Moms. Some guide placements may be paid advertising, which will be disclosed where required.

St. Johns Moms is not responsible for any loss, injury, or disappointment resulting from reliance on information in our guides.

9. Newsletter

St. Johns Moms publishes a regular newsletter distributed to subscribers. By subscribing to our newsletter, you consent to receive periodic email communications from us. You may unsubscribe at any time using the unsubscribe link included in every email.

Our newsletter may include sponsored content, affiliate links, and advertisements from local and national partners. Sponsored content will be disclosed. Affiliate links may earn St. Johns Moms a commission at no additional cost to you.

We are not responsible for third-party products, services, or offers featured in our newsletter. All newsletter content is subject to these Terms.

10. Social Media & Community

St. Johns Moms operates social media accounts and community groups across platforms including but not limited to Instagram and Facebook. Our Facebook community group is a private, moderated space. Participation in our community is a privilege, not a right.

All community members are expected to engage respectfully, honestly, and constructively. We reserve the right to remove any member, post, or comment that we determine, in our sole discretion, to be disrespectful, harmful, misleading, promotional without approval, discriminatory, or otherwise inconsistent with our community standards.

Content you post in our community remains your property but you grant St. Johns Moms a non-exclusive license to share and repurpose community content for promotional purposes, with or without attribution, unless you explicitly request otherwise.

We are not responsible for content posted by community members and do not endorse any opinions, recommendations, or information shared by members.

11. Shop & Merchandise

St. Johns Moms may offer branded merchandise and other products for purchase through the Website or a third-party platform. All merchandise purchases are subject to the following:

All sales are final. We do not accept returns or exchanges unless an item arrives damaged or defective.
In the event of a damaged or defective item, please contact us within 7 days of receipt with photo documentation.
Shipping costs and timelines are provided at checkout and are subject to change.
We are not responsible for delays caused by third-party shipping carriers.
We reserve the right to discontinue any product at any time without notice.

12. Vendor Applications & Markets

St. Johns Moms may host markets, pop-up events, or vendor opportunities. Applications to participate as a vendor are subject to review and approval at our sole discretion. Submission of a vendor application does not guarantee acceptance.

Accepted vendors will receive separate vendor agreements outlining their specific obligations, fees, setup requirements, and conduct expectations. Those vendor agreements are incorporated into and subject to these Terms.

Vendor fees are non-refundable unless the event is cancelled by St. Johns Moms.

13. Accounts

If you create an account on our Website, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and current information and to update it as necessary.

We reserve the right to terminate any account at our sole discretion. You may close your account at any time through your account settings.

14. Intellectual Property

All content on this Website — including but not limited to text, graphics, photographs, logos, designs, guide content, blog posts, newsletters, and the St. Johns Moms name and brand — is the property of St. Johns Moms, LLC and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on this Website without our prior written permission. Brief quotations with proper attribution and a link back to the original source are permitted for non-commercial editorial purposes.

You and St. Johns Moms, LLC agree that any claims shall be brought only in an individual capacity and not as a plaintiff or class member in any class action or representative proceeding.
